Noventi Labs – Terms and Conditions

1. Introduction

1.1 These Terms and Conditions (“Terms”) govern your access to and use of the website located at https://noventilabs.com and any related sub-domains (collectively, the “Site”), operated by Noventi Labs. (“Noventi Labs,” “we,” “our,” or “us”).
1.2 By visiting, browsing, or otherwise using the Site you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy & Cookies Policy.

2. Eligibility & User Account

b) You warrant that you own or have the necessary rights to submit the content and that it does not infringe any third-party rights or laws.

7. Prohibited Conduct

You agree not to:

violate applicable laws, regulations, or industry codes (including the EU Digital Services Act, GDPR, ePrivacy Directive, Australian Consumer Law, Spam Act 2003, and Australian Privacy Principles);
interfere with Site security or functionality;
upload viruses or malicious code;

12.2 Where liability cannot be excluded under mandatory consumer law (e.g., ACL §64), it is limited to the fullest extent permitted, e.g., the lesser of resupplying the Services or the cost of resupply.

You agree to indemnify and hold harmless Noventi Labs from any loss, liability, claim, or demand arising from your breach of these Terms or misuse of the Site.

14. Suspension & Termination

We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.

15. Governing Law & Jurisdiction

15.1 Visitors in Europe (including U.K.) – The laws of Lithuania govern these Terms (or insert your EU member-state of establishment). Disputes shall be subject to the exclusive jurisdiction of the courts of Vilnius, Lithuania. You may also use the EU Online Dispute Resolution (ODR) platform (Regulation (EU) 524/2013).
15.2 Visitors in Australia – These Terms are governed by the laws of New South Wales, Australia. The courts of Sydney have exclusive jurisdiction, subject to mandatory local consumer-protection forums.
15.3 Conflict-of-law rules and the U.N. Convention on Contracts for the International Sale of Goods do not apply.

16. Severability

If any provision is found unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force.

17. Entire Agreement

These Terms, together with the Privacy & Cookies Policy and any additional Service-specific terms, constitute the entire agreement between you and Noventi Labs.

18. Changes to Terms

We may amend these Terms from time to time. Material changes will be notified via the Site or email (where feasible) at least 30 days in advance. Continued use after the effective date constitutes acceptance.
